In a savvy move that will see it vault from explorer to producer, Aureka Limited has tabled a binding agreement to acquire a producing Victorian gold mine and a strategically vital processing mill in a low-cash, scrip-heavy deal. The transaction lands squarely in the middle of a renewed wave of mergers and acquisitions in the Australian gold sector, where the market is tending to reward near-term production and cash flow over long-dated development stories.
Under the terms of the deal, the company is set to acquire 100 per cent of High Grade Holdings (HGH), the parent company that owns the Fiddlers Creek gold and silver mine, along with 100 per cent of Vanning Resources, the operator of the 42,000-tonne-per-annum Wedderburn gold processing mill, for a base consideration of $8.9 million.
The dual purchase has been structured as a majority-scrip transaction, comprising just $2.5 million in cash and $6.4 million in Aureka shares issued at 12 cents a pop. Aureka will also reimburse $500,000 in rehabilitation bonds. To fund the play, the company has locked in commitments for a two-tranche placement to raise A$5.65 million, which it says was supported by its significant shareholders. A matching share purchase plan to raise $1.5 million will also be offered to existing shareholders.
The centrepiece of the deal is the Wedderburn processing mill, one of only six licensed gold mills in Victoria. With operating infrastructure relatively scarce in the state, control of a plant with stated spare capacity and a licence for external tolling could prove a strategic coup.

The mill currently processes high-grade ore from the Fiddlers Creek underground mine, which restarted production in 2025. Aureka due diligence showed HGH has been generating positive monthly free cash flow since the second quarter of this year, just nine months after first production. During its fiscal 2026 ramp-up, the operation churned out 416 ounces of gold from ore with an impressive average head grade of seven grams per tonne (g/t). Recoveries averaged 86 per cent and hit a high of 91 per cent, producing a concentrate with a gold grade of about 70g/t, which is then sold under an existing offtake agreement.
Notably, the deal also includes significant exploration upside on the acquired ground. The Fiddlers Creek mine lies within the Percydale goldfield, which has a history of producing over 700,000 ounces of gold. The surrounding tenure contains six kilometres of mineralised structure and more than 600 historical workings, with multiple parallel quartz-reef zones that have never seen a drill bit. As part of the deal, Aureka has committed to drilling at least 1800 metres on the acquired ground.
Notably, the ASX has confirmed that Aureka will not need to re-comply with listing rules. HGH will have the right to nominate one non-executive director to Aureka’s board to ensure continuity.
Up to a further $2 million in performance payments could be payable over three years if key milestones are hit. These are tied to cumulative production hurdles of 900 ounces of gold within 12 months 2500 ounces within two years and 4000 ounces within three years. An additional milestone concerns the delivery of a JORC-compliant resource for Fiddlers Creek, for which Aureka has yet to report an estimate.
Aureka managing director James Gurry said: “This transaction accelerates Aureka’s existing strategy of targeting opportunistic first-up production:Aureka would immediately become a producer, and with its own mill, which unlocks commercial possibilities for all of Aureka’s projects, including the flagship Irvine Gold Project hosting an estimated 398koz of inferred JORC mineral resource.”
Aureka says the new assets are a natural fit with its flagship Irvine gold project, which sits just 16 kilometres from the world-class 5-million-ounce Stawell gold mine and already hosts a 398,000-ounce inferred JORC resource.
The company is currently drill-testing extensions to Irvine’s 358,000-ounce Resolution Lode and says that, despite 59 kilometres of drilling since 2107, the geological understanding is still in its infancy, leaving plenty of blue sky for further growth.
A key advantage of the new deal lies in the proximity of Aureka’s 56,500-ounce Comstock project at St Arnaud, which sits less than 50km from the Wedderburn mill, potentially providing a clear pathway to market for a second production source. The St Arnaud goldfield itself is a well-endowed region, with historical production of 400,000 ounces of gold at a stunning average grade of 15g/t. The company’s wider regional tenement holdings also include the Jubilee gold project near Ballarat and the Morning Bill gold and base metals project.
With elevated gold prices improving the economics of smaller-scale operations and restarts, Aureka’s timing looks astute. By snapping up a cash-flowing asset, the company has not just bought a mine, but a strategic platform to help self-fund larger-scale exploration at its flagship Irvine play.
With a global resource already north of 450,000 ounces and an eye on a potential million-ounce inventory at Irvine, this deal could be the key that unlocks a much larger-scale future for Aureka.
